Terms of Service

1. Agreement to Terms

By accessing or using Sigil ("Service"), operated by Sigil ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including merchants who create a store on Sigil. By signing up and creating a store, you represent that you have the authority to bind the business entity that owns the store to these Terms.

2. Description of Service

Sigil is a commerce platform that helps merchants make their products discoverable to AI shopping agents, provides AI-powered promotional intelligence, and enables programmable deal structures ("Recipes") designed for agent-driven commerce. The Service includes but is not limited to:

  • Structuring product data with Schema.org markup for AI agent discoverability
  • Analyzing historical sales data to suggest optimal promotions
  • Automating deal creation, syncing, and storefront updates
  • Tracking price trends and market conditions
  • Enabling agent-exclusive promotions and commerce protocols

3. Fees and Revenue Share

Performance-Based Pricing

Sigil is free to install and use. There are no subscription fees, setup fees, or monthly charges. Instead, Sigil operates on a performance-based revenue share model:

Sigil retains 2.5% of the gross revenue from sales directly attributable to the Service.

3.1 What "directly attributable" means.A sale is considered directly attributable to Sigil when a customer or AI agent discovers, interacts with, or completes a purchase through a promotion, recipe, or discoverability feature provided by the Service. Attribution is determined by Sigil's tracking systems, which monitor checkout sessions, promotional interactions, and agent commerce protocol completions.

3.2 Calculation. The 2.5% fee is calculated on the gross transaction value of the attributed sale, before any deductions for shipping, taxes, refunds, or third-party payment processing fees.

3.3 Billing cycle. Revenue share fees are calculated and invoiced on a monthly basis. Payment is due within 30 days of the invoice date. We reserve the right to collect fees through our payment processing partners.

3.4 Disputes. If you believe a fee has been calculated in error, you must notify us at info@trysigil.io within 30 days of the invoice date. We will review attribution data and adjust any confirmed errors in the following billing cycle.

3.5 Fee changes.We may modify the revenue share percentage with at least 60 days' written notice. Continued use of the Service after the effective date constitutes acceptance of the updated fee. You may terminate your use of the Service before the change takes effect if you do not agree.

4. Account and Eligibility

You must create a Sigil account and store to use the Service. You are responsible for maintaining the security of your account credentials. You must provide accurate and complete registration information and keep it up to date. You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.

5. Your Responsibilities

  • Comply with all applicable laws, including consumer protection, advertising, and e-commerce regulations in your jurisdiction
  • Ensure that promotions created through Sigil comply with your local pricing and discount laws
  • Maintain accurate product information in your store
  • Not use the Service for any unlawful, fraudulent, or deceptive purpose
  • Not attempt to reverse-engineer, decompile, or otherwise extract the source code of the Service
  • Not interfere with or disrupt the integrity of the Service or its attribution tracking

6. Intellectual Property

Sigil and its original content, features, and functionality are owned by Sigil and are protected by copyright, trademark, and other intellectual property laws. You retain all rights to your store data, product information, and sales data. By using the Service, you grant us a limited, non-exclusive license to access and use your store data solely for the purpose of providing and improving the Service.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of data as described in our Privacy Policy.

8. Service Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Sigil shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, sales, or business opportunities, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to Sigil in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Sigil, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party rights.

11. Termination

You may stop using Sigil and delete your account at any time. There are no cancellation fees or lock-in periods.

We may suspend or terminate your access to the Service if you breach these Terms, engage in fraudulent activity, or if continued provision of the Service becomes commercially impractical. We will provide reasonable notice where possible.

Upon termination, any outstanding revenue share fees remain due and payable. Sections 3, 6, 9, 10, and 12 survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.

13. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
